THESE TERMS OF SERVICE ("Terms") form a contract between you ("you" or "your") and Auth Hero, Inc. ("Auth Hero," "we," "us," or "our"). These Terms apply whenever you access or use our websites, web or mobile apps, portals, features, and related services (collectively, the "Services"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.
We may update these Terms from time to time. If we make changes, we'll post the updated Terms with a new effective date. Your continued use of the Services after changes means you accept the updated Terms.
Auth Hero is a HIPAA-aligned, case-centric document and communication platform that helps clinics and other authorized stakeholders in California workers' compensation collaborate on cases. Auth Hero is not a healthcare provider, billing service, insurer, law firm, or medical device. Nothing in the Services is medical, legal, or insurance advice. Do not use Auth Hero for emergencies; call 911 or your local emergency number.
Subject to these Terms, we grant you a personal, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes during the Term.

You must be legally able to enter a contract and provide accurate, current information. If you use the Services on behalf of an organization, you represent you have authority to bind that organization to these Terms.
You may need an account with a username and password or other credentials. You're responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any suspected unauthorized use.
Auth Hero is designed to support HIPAA-aligned controls and audit trails for covered entities and business associates. You are responsible for ensuring your organization has appropriate legal bases and notices to upload and share data through Auth Hero. HIPAA and California law may apply to your use:
Business Associate Agreements (BAAs). If you are a HIPAA covered entity or business associate using Auth Hero to create, receive, maintain, or transmit PHI, you must have a BAA in place with Auth Hero before using the Services for PHI.
You consent to receive notices electronically (e.g., email, in-app). You also agree that clicking to accept, typing your name, or otherwise executing via the Services constitutes your electronic signature, with the same legal effect as a handwritten signature under the federal ESIGN Act and California's UETA (Civ. Code §§1633.1 et seq.).
By uploading or submitting data, files, messages, or other content ("Submissions") you grant Auth Hero a non-exclusive license to host, process, transmit, display, and use the Submissions only to provide, secure, support, improve, and operate the Services and as otherwise permitted by law and any BAA or data processing agreement in place.
We may create or use aggregated/de-identified data (that does not identify you or your users) for analytics, benchmarking, security, and product improvement.
You're solely responsible for the accuracy and legality of Submissions and for obtaining all necessary authorizations, consents, and notices.
If you purchase paid features, you agree to pay the fees shown at checkout or in an order form. Unless stated otherwise, all fees are in USD, non-cancelable, and non-refundable except as required by law. Late amounts may accrue interest, and we may suspend the Services for non-payment.
The Services may integrate with or link to third-party products (e.g., messaging, identity, cloud, or analytics). Your use of third-party services is governed by those providers' terms and privacy policies, and we are not responsible for them.
Apple users. If you access our iOS app, you acknowledge these Terms are between you and Auth Hero, not Apple. Apple has no obligation to provide maintenance or support, and Apple is a third-party beneficiary able to enforce applicable portions of these Terms. See Apple Media Services Terms for "Family Sharing"/Usage Rules details.
Auth Hero and its licensors own all right, title, and interest in the Services and all related IP. These Terms do not transfer any ownership to you.
The Services are built for documentation and collaboration around workers' compensation cases. Uploading content that is unlawful, defamatory, infringing, or that violates privacy or employment laws is prohibited. The Services do not establish a physician-patient, attorney-client, insurer-insured, or employer-employee relationship.
You will defend, indemnify, and hold harmless Auth Hero and our officers, directors, employees, and agents from and against claims, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your breach of these Terms; (b) your Submissions; or (c) your violation of law or third-party rights.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTH HERO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT DATA WILL NOT BE LOST.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTH HERO WILL NOT BE LIABLE FOR: (A) INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES; (B) LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; OR (C) MORE THAN THE AMOUNTS YOU PAID TO AUTH HERO FOR THE SERVICES IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR USD $10 IF YOU DID NOT PAY). THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
These Terms start when you first use the Services and continue until terminated. We may suspend or terminate access immediately if you violate these Terms, if required by law, or to protect the Services. You may stop using the Services at any time. Sections that by their nature should survive (including IP, de-identified data, disclaimers, limitations, indemnities, and dispute terms) will survive termination.
Arbitration. Any dispute arising out of or relating to these Terms or the Services will be resolved by final, binding, and confidential arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules before a single arbitrator seated in Sacramento County, California, and administered by AAA. Judgment on the award may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs this provision.
Injunctive relief / small claims. Either party may seek temporary or injunctive relief in a court of competent jurisdiction to protect confidential information or IP, or bring an individual claim in California small-claims court.
Class-action waiver. YOU AND AUTH HERO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
These Terms are governed by California law, without regard to conflicts principles, and apply to use within California. If you access the Services from outside California, you are responsible for compliance with local laws, and you acknowledge that some features may not be available or appropriate outside California.
We may monitor use of the Services to operate, secure, and improve them and to comply with legal process. You agree to comply with applicable sanctions and export laws and represent that you are not located in a country embargoed by the U.S. or on a U.S. restricted-party list.
If any provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver.
These Terms (and any BAA, DPA, or order form we execute with you) are the entire agreement regarding the Services and supersede prior or contemporaneous agreements on the same subject. If there is a conflict between these Terms and a signed order form or BAA/DPA, the signed document controls.
